The other times

Of the 30 issuers that received this notice 1 to 2 years ago, within the following 365 days 16 regained compliance, 23 did a reverse split and 1 filed a Form 25 (delisting). An issuer can be in more than one group.

Measured on our own SEC documents: the cohort is the issuers whose notices we read, not the whole market. Historical distribution, not a prediction.

Reverse splits in 5 years

1 reverse split in 5 years (1:20 on Aug 31, 2026) · 1:20 cumulative

The other times: of 818 securities that did their first reverse split in 5 years, a year later the median was worth 0.53× the price on the day of the split; 382 lost more than half and 209 rose (809 with a price a year later).

Our own series, not the whole market: based on the splits we have on record (provider and SEC); an unrecorded one does not count. Historical distribution, not a prediction.

Ownership and control

Schedule 13D: stake and stated purpose

Filed by holders above 5% of a share class who cannot use the short form. It includes the investor's stated purpose: read it before assuming they seek influence.

  • Allen Salmasi55.2%Aug 14, 25SCHEDULE 13D ↗2 co-filers on this document — the figure is the largest single stake, not their sum. · 1 earlier filing

Schedule 13G: short-form filing

The short form, for holders who meet specific requirements: institutional investors, passive investors without a control purpose, or exempt investors. Asset managers and index funds usually file it.

Structured 13D/G data starts 2023-12, when the SEC moved these filings to a machine-readable format. Earlier filings exist but are not parsed here.

  • No account

This profile for every company we cover: closing prices with the record's facts on the curve, the SEC file in plain language, insider trades included, and links to its sector and exchange.

  • Pro

What matters today, with its reason, is free with an account. Pro adds, in the profile, each company's notices and their explanation and the analysis of its insiders; in Radar, all the lenses, which notice each candidate carries, filters by notice type and «no dilution», and the cycle cohort filter; and in Watchlist, more companies and notice changes with their reason.

  • Pro+

Adds the Lab: test a hypothesis on comparable cohorts before reusing it; and bring your lenses to Radar.

Are the prices real time?

No. It is one close per session, from the provider and with the date shown on the profile; it does not update during the trading day.

Which SEC documents appear here?

Those filed with the SEC by the company, its insiders and its major shareholders, within our coverage: periodic reports (10-K, 10-Q, 20-F), material events (8-K), proposed sale notices (Form 144), insider transactions (Form 4) and stakes above 5% (13D/13G). Each links to the original on EDGAR.

Why does a European company show no SEC records?

It depends on the company: some European issuers file a 20-F or 6-K with the SEC and others don't. The profile shows whatever is on record; when there is nothing, it says so rather than guessing why. Europe does not yet have a common filing archive like EDGAR in the United States. The EU will open its own, ESAP, in July 2027 (managers' transactions arrive in January 2028), and we plan to add it once it is available.
